Hello Mr. Rice!

I apologize for not being in touch yesterday. I was out of the office all day. I wanted to touch bases quickly and see what your thoughts were on the success of the mailing. I think the key to a higher jump in price is more exposure. Let me know when you are ready to proceed with the second 1 million and I will schedule you in for that date.

I look forward to hearing from you.

Take care and God bless.

"RPHL" ? excellent buy situation, accumulate holdings.

RPHL is a very sound company, with superior management, very good track record of
growth and in an industry (healthcare) that will see significant growth over the next several
years. RPHL revenues have grown over 500% in the last 6 months. RPHL has entered the
internet market by selling their discount medical services card via the internet. RPHL expects
to earn over $0.48 per share in 2000. At near all time lows this is a very good buy, accumulate
and hold situation.

Hello!

1. ***You have gotten out 1 million emails as of Friday 12 noon.

How many went out Wednesday night? Thursday night?
What time did the mailing stop? Did any emails go out
from 8:30 am to 3:00 pm Thurs. or Fri.? If so how many.

All 1 million were out by Thursday morning at 10:00 a.m. CST.

2. Can you repeat your efforts this week for Mon. thru Fri.?
( I sent another $3k fedx today) I need to change the message
slightly.

Yes I can do that. I am assuming you want the remaining one million plus two more million correct? What days would you
like to concentrate on? Monday, Tuesday, Wendesday or spread it out to Friday?

Please send the new message as soon as possible.

3. I have one other stock I might be interested in doing with
you. Are you interested?

Most certainly :-)!

Take care and God bless.

Hello Mark!

I am so disappointed that the volume was not due to the mailing. I have so little experience with mailing for this type of "product" that I
decided to contact my associate who has been doing this for about a month to ask his advice. He has been mailing 20 million a week and his
volume has been approximately 2.3 million/daily per campaign. I think this is the answer...volume. I would have to hire help to handle that kind
of volume weekly but it could be done. The price might be effected but it would probably we well worth it for this type of volume traded.
What do you think?

I'm still mailing the remaining 1 million. 1 million was delivered last night and the second one is going out right now.

Let me know your thoughts and I'll be happy to work up a campaign of this size.

Take care and God bless.

Rodona,

I have since confirmed that last Fridays trading activity
was not due to the other source. I am unsure why RPHL
trade so nicely that day.

It is very important for me to see about 50,000 shares
traded per day. The price is not as important as the
volume.

What do you suggest.

Hello Mark!

I have attached several graphs to this email which I will refer to as Exhibit A and Exhibit B for want of better terms :-).

Exhibit "A" is a graph of the the activity for the first stock campaign my associate undertook. He started the mailing after close of business on Tuesday night the 14th of September. You will note the price at that time was less than $2.00/share. The volume of activity increased over the next few days in a major way until the price crested at over $4.00/share. This was a three day campaign, 24 hour days...that's how long it took him to mail 20 million emails.

The second campaign (graph labeled Exhibit B) began the following Tuesday, September 21, 1999, after market close for approximately the same time frame. The increase in price for this stock did not go as high as the first stock. According to my associate one of the principals dropped a huge chunk of stock and his sale price was at $1.40/share. This effected the price only...volume was still there according to my associate.

2 million emails a day Sunday through Thursday would cost $2,200.00/per 1 million - the increase in price is due to the fact that I will have to hire additional staff to handle this volume of mail. We'll have to run a 24/7 crew here. We could do the additional volume per day at the same price. I would have the crew here 24/7 it would just be a matter of utilizing all our resources. We could do it :-).

Let me know if you have any questions.

Take care and God bless.

Rodona

Ok, thats interesting, wow 20 million a week. Ask your associate: What
does the stock price have to do with the emails being effective? If the stock
is below one dollar do the emails work better? What is the highest stock price
your associate has emailed for and what were the results. What time of the day
does your associate email to be the most effective. (I personally think during
trading hours is a plus, but I could be wrong)

Go ahead and get me a bid of what it would cost me to get out 2 million
emails a day Sunday through Thursday. Also do 3,4 and 5 million per day.

Take care
Mark

Hello Mark!

I spoke with him again and he gave me authorization to release two of the symbols that he has mailed for:

VECT
ABUY

Both campaigns started on a Tuesday evening after market close and took right at 3 days to mail the 20 million.

You mentioned $2200 per 1million if we did 2 million per day Sun through
Thursday. What did you mean about keeping the same price (1500)?

No, I meant that the price per 1 million would remain at $2200 for the higher volumes because it would be the same crews/same hours, just
more resources tied up.

Take a look at the stock symbols and give me your analysis of what you think...you know your business much better than I do. After looking
everything over let me know what you would like to do and I'll work up an estimate for you based on what you feel will work best for you. At
this point we are still trying to figure out what will work and that is the most important part.

If I know in advance, I can basically put out any volume of mail with the right crew/hours, etc.

Any questions just let me know.

Take care and God bless.

Rodona

Yes, I can respect his position with his client. But it still would
be nice to know the symbol. With my knowledge of how the market works
and what makes a stock move,(press releases, etc.) it would
answer a lot of questions. No worries, we will get there anyway.

You mentioned $2200 per 1million if we did 2 million per day Sun through
Thursday. What did you mean about keeping the same price (1500)?

What about 3,4 and 5 million per day?

If your associate did 20 million emails in 72 hours (3 days) 7/24 and
got good results we may look at doing the same. However, I would prefer to
have a more sustained long term campaign. Like 1 million emails
per day Sun - Thursday for 4 weeks. What would the cost per million
be for that type of program?

I do not know your current outgoing email per hour capability, that may help
me understand how and when to schedule deliveries.

I guess we will keep going forward and learn what works best through
trial and error. Let me know if there is a price break for a 4 week deal doing
1 million a day Sun-Thur.

Take care
Mark

Could you email me both versions of the

Net//works! Inc., based in Albuquerque, New Mexico, is an internet e-commerce,
web site hosting company specializing in e-commerce solutions. Net//works! Inc.
is home to over 2500 web sites from dozens of countries. The Rockport site is

Hello Mark!

I would like to set up an account where I could buy and sell stocks. Since I have an inside of sorts :-), it seems it would be wise if I purchased
some stock that we are promoting. Do you have any recommendations for someone who has absolutely no knowledge of how to go about
doing this?

Your assistance would be greatly appreciated.

Take care and God bless.

Hello Mark!

I changed to the new message as soon as I received it which was approximately 1:00 p.m. CST. I think that will help since the figures are more
accurate. We are working shifts here so that is why I didn't respond earlier :-).

The price and the volume is up a bit but I'm definitely not satisfied and I'm sure you aren't either. We'll get it there though! I think the more
activity the stock shows the more people will jump on it.

I'll update you again in the morning.

Take care and God bless.

Rodona,

Lets go with the old message for the next batch of mailings.
I changed several thing about it, and that's what might be the
problem. It was outdated and had non-current numbers. Now
it does.

I have attached it with a few minor changes. The results just do
not look good for 1.5 million mailings. But we will get there.

Take care

I set up an etrade account today. I will definitely take your advice on what we are doing. I knew that was a risk from the very beginning. Any
assistance in this area would be great.

Thanks!!

Rodona,

yes I to think this week will be good. I am really curious about the
bunch of aol only emails and what they will do. We both shall see!!!

I would like to set up an account where I could buy and sell stocks.

I like your thinking, but it must be done right. Due to the fact you have
inside knowledge of a potential rise in the stock price guess what......
the SEC would say you are an insider! Not to fret there is the right
way of doing it. If an unrelated entity (new corporation) set up an e-trade
www.etrade.com account and did the buys and sells, that is the way
to avoid the issues. This is very sensitive and I caution you to "stay silent"
about our campaigns with the many stocks I feel we shall do. In fact I think
I have a corporation that may work for you. I will check, but I do not think
it has a brokerage account yet.

I will be working late Saturday in the office if you need me.

Take care
Mark

Rodona,

I think we are on the right track. RPHL had good
pre-market activity this morning. This means that
buyers placed their orders with their brokers before
the market opened this morning. There was a rush to
buy stock and then it ended very abruptly. This means
all the orders got filled, and there are no more buyers.

As people open their email and read it they may buy.
That was my I want mailings throughout the trading day.
People will open their mail and might buy during the day
especially if their is upward momentum.

I think we are on the right track. I know AOL emails are
harder to get out but I think they are the most effective.

What we definently know is the message must be very
current maybe 1 day in advance might work better.

The thing I like about emailing at night is that rush in the
morning is very good for a stock. I makes the marketmakers
sit up and take notice in a big way. And if we can keep
the momentum going through out the day, we win.

I think that is the ticket.

Take care
Mark

Hello!

I will inquire from my associate about whether or not they are getting any
heat from the SEC. I think he would have mentioned it if that was the case.
Whoever mailed this to your MSN doesn't know much about direct

I'll let you know what I find out.

Hello Mark!

I'm very familiar with this gentlemen and his tactics. I own this software
myself but it is very ineffective at this point and time in the industry.

They all make it sound so good but fact is that very little is working
religiously at this point. There are about 10 of us that still have the
capability to move mass amounts of email and actually get it delivered.
This is good for my business obviously :-)!

We are on the final leg of the 1st 1 million right now. I'll advise later
as to the status.

Take care and God bless.

Hello Mark!

How do you wish to handle this week's mailing? I will be out of the office this evening and most of tomorrow. My husband is going on a trip
and will be gone for three weeks. I have to take him to the airport in the morning and do family things tonight. Hopefully we can work around
this? Let me know how you wish to proceed and I'll work it out on my end.

Take care and God bless.

Good Morning Mark!

I will be out of the office most of the day today. I mentioned this in an earlier email. I can start on RPHL tomorrow if this is suitable with your
schedule?

Here is the email message we sent out last:

Mike, I followed the advice of these guys last month with PCMS and I did real well.
I bought in at 3.91 and it went all the way to $8, I sold at $6.25 but I was real happy :).
I think this one will pop too.

Hey Bill here is another one. This advisor is hot. I have made a ton of cash following his recomindations. I am sure this stock will pop like
mad.

Strong Buy / Aggressive Growth
Avid Sportswear and Golf Corp.
(OTC BB: AVSG)

Symbol - AVSG

Shares Outstanding - 24,000,000
Float (est.)- 5,000,000
Trading Range - $.71 - $1.21

6 mo. Target - $4.00

The next company we are highlighting is Avid Sportswear and Golf Corp. (OTC BB: AVSG). This is a jewel waiting to be discovered. Avid is a
manufacturer of quality golf apparel. They currently have 3 product lines consisting of Dockers Golf, British Open collection, and Avid.

Dockers Golf - Avid has a 4-year license with a three-year option from Levi/Strauss to produce and distribute the Dockers Golf line of apparel.
Dockers are the largest selling lines of men's clothing in the US. PGA golf professional Tom Lehman is the corporate spokesman for Dockers
Golf and is one of the most popular and visible professional golfers currently on the tour. AVSG expects sales to exceed $10,000,000 in the year
2000 from this line.

British Open Collection - Avid acquired the British Open trademark and has developed a complete line of high quality golf and fashion wear.
Avid is implementing an aggressive advertising campaign with major golf wholesale and retail magazines and tradeshows. Concurrently they
are developing an e-commerce site where consumers can view and purchase all of the Avid products. Projected first year sales for this line are
expected to exceed $1.5 million.

Avid - Avid sportswear is AVSG's value priced line offering very high quality and style at a lower price point than their other two lines. This
brand emphasizes strong value and high quality at reasonable prices and is distributed through golf pro shops nationwide. Sales of Avid
sportswear exceeded $3.7 million dollars in 1998 and are expected to exceed the $4.1 million-dollar mark in 1999.

AVSG is poised to capture a significant portion of the golf apparel market. This market has remained highly fragmented and there is an
outstanding opportunity to capture a large market share by utilizing the huge brand recognition of the Dockers and British Open labels.
AVSG's high quality products cover virtually all price and style points while providing real value to the consumer. They are adequately funded
to market and advertise properly, and have the name and quality recognition that consumers demand. The company expects sales to exceed
$38 million in the next 3 years. This is a young company on the rise with some big names behind them. We feel that his stock can move to the
$4.00 range very quickly.

Hello Mark!

I wanted to give you a quick update:

We had technical problems late last night and they carried over until around 2:00 CST today. So the mailing for PCBM got started about that
time. I hired an associate to help me deliver the mail since we were so far behind schedule. He utilized his T1 connection and delivered the 2
million this afternoon/evening. So the response for this stock won't really hit until tomorrow morning. I want to mail an additional 1 million for
you to make up for the delay on today's mailing. Please advise if you would prefer to have RPHL or PCBM as the target of this mailing. My
apologies for the delay but it just couldn't be helped.

I noticed that you phoned today as well so let's get together tomorrow via the phone and plan our strategy for next week. I have some exciting
stuff on the horizon and I'm anxious to see if it is going to be assist us...I can't help but believe that it will and in a big way :-).

Talk to you soon...

Take care and God bless.

:-) You aren't to forward :-)! That was a funny :-)!

I have two new T1's coming online this next week and new software, etc. Remove system will be automated and I think it will make us much
more professional and the response to our mailings should be much better. Also, think about this...doing a stock newsletter and putting out
buy recommendations for a specific stock in the newsletter. Do you think that would be perceived as more legitimate? Just an idea that I had
and I think it might have alot of merit.

I look forward to talking with you.

> HumaTech, Inc. (OTC BB: HUMT), We believe HUMT will be our biggest winner
this year and next. HumaTech is a manufacturer and distributor of
humate-based nutrients for both plants and animals. Its products are
classified as High Technology Organic Solutions. Its products are created
from a proprietary process known as Iso-Molecular Technology. HumaTech
sells its proprietary product lines to growers of agricultural crops, golf
courses, commercial landscapers, mass merchandisers, independent nurseries
(for lawns and gardens), and to feedlots for animal feed supplements.
>
> The company has been manufacturing its products for over twenty years and
is now dramatically increasing its revenues at an explosive rate. In fact,
we have no doubt that HumaTech's revenues will surpass $30 million for the
next 12 months. HumaTech experiences extremely high gross and net margins.
Net margins according to management will be 30%; and as soon as the company
surpasses $50-60 million/year, margins, according to management, will drop
to approximately 25%, which is still extremely high. On $30 million in
revenue, that gives the company a net profit of $10 million before tax.
That is an extremely high $1.19/share in earnings. If the company trades at
a very conservative P/E of 20, the stock should trade between $23 and $24/
share.
> But we believe this stock has the potential of $25 or higher in the next
12 months, and here is why:
> HumaTech, on May 13 of this year, announced the signing of the services of
Club Marketing, with the intention of introducing its new product line,
GreensKeeper Secret, to Wal-Mart (NYSE: WMT), and other mass market
retailers for national distribution. We believe a contract with Wal-Mart is
imminent. That contract alone, we believe, will be worth in excess of $10
million. Also, HumaTech has already begun distributing GreensKeeper Secret
through Ace Hardware. We here at Investors' Alert have also heard that
other mass market retail giants such as Home Depot (NYSE: HD) are also
taking a look at GreensKeeper Secret.
>
> But the following is why we believe this company has the potential to do a
$100-200 million-plus in revenues over the next several years. Who can ever
forget Mad Cow Disease? HumaTech is the only approved, worldwide solution.
We believe HumaTech's solution will be highly publicized, and that HumaTech
will become one of this year's hottest stocks. On June 22nd, HumaTech
announced it has received approval to import its entire line of natural feed
ingredients into the European Union. The company has received full approval
from the Ministries of Agriculture Fisheries and Food; HumaTech is the only
company to receive this approval. This is very significant. HumaTech's
products replace artificial growth hormones currently used in the animal
feed market. These artificial growth hormones were banned as of July 1999
in the entire European Union. Mad Cow Disease has been found attributable,
in part, to the use of these artificial growth hormones. This is huge. The
worldwide m!
> arket for artificial hormones is $4 billion annually. HumaTech announced
October 19th that it has received an initial $2.1 million order for its
animal feed additive. And let us not forget about the United States. The
USDA has already stated it will phase out the use of artificial growth
hormones in the U.S. We believe many more orders will be coming in soon,
tens of millions over the next 12 months.

Hello!

Are we on for this week? Let me know how to proceed. I've blocked off this week for your mailing after our conversation of last Friday. My
understanding was that you were going to overnight a cashier's check in an yet to be determined amount. You were going to think it through

advise at your earliest convenience what your agenda is for this week.

I'm excited about the jump that PCBM took on Friday and today.

Good Morning Mark!

I wanted to touch bases right quick and let you know that I misinformed you unintentionally. I talked with my associate again and he clarified
the stock issue for me...he is getting 10,000 per weekly mailing, i.e. he mails 12 million AOL's for a particular stock. His compensation for the
mailing is the payment he receives per 1 million plus 10,000 shares of that particular stock. This makes more sense :-). Thought I would clarify
this for you.

Also, I have not received a check for this week's mailing. Can you tell me when and how it was to be delivered?

Thanks!!

Please send the schedule for this week as soon as possible.

I have thought over the offer you made me on volume and after crunching the #'s, etc. have come to this
conclusion:

If you would commit to a volume of no less than $15,000 (hopefully more than :-) ) a week together with stock
options on each 1 million mailed I think we could feasibly work this out. My associate is currently receiving
10,000 shares per 1 million mailed. I am currently averaging about $30k a week on another campaign and would
have to cut that campaign to get your volume out. My hope is that the stock option will make up the difference.
We would also need to come up with some way to satisfy Dave so that I no longer have to pay him a
commission.

Let me know your thoughts.

Thanks!!

Good Morning Mark!

I'm running behind on the mailing due to some technical issues but we are mailing now. Have put out about 1.5 million since late yesterday. I
also have been working on something that I think will work much better than what we are currently doing. I have attached a website that I

I also think the ad copy we are using for RPHL needs to be updated BADLY! Serious investors are going to look at that and say, hey it says
today they made this big deal and yet when they go look there is no new news on RPHL. Ad copy also mentions that the web site will be
operational in October...this is NOVEMBER! I really think we need to make some modifications to get maxiumum results for the mailing.

Rockport's medical savings card can provide up to 30% reduction on services such as prescriptions, vision,
dental and hearing for an average annual fee of $120. Physician discounts are included for an additional $60 per
year. There are over 500,000 participating physicians in the Passport Medical Savings Card network nation
wide. Rockport's medical savings card will be marketed to the growing home based businesses and the explosive
internet based small business entities. The biggest marketing push for RPHL's medical savings card will be
the 110 million Americans with either no insurance and/or underinsured that could greatly benefit
from the use of Rockport's medical savings card. RPHL management projects year end 1999 medical card
sales of $5.4 million with EBIT of $1,965,000.

In additional importance.

Rockport Healthcare Group, Inc., announced today the finalization of a corporate financing and the signing of
Rockport's largest account to date. This week Rockport management finalized a financing of $2,000,000 for the
Company. The financing group completed their due diligence and all contractual agreements were signed this
week. The financing will enable Rockport to increase its marketing and sales in both its Workers Compensation
and Passport Medical Savings Card products. Rockport also signed an agreement with a new client that paid
over $60, 000,000 in medical bills last year. This client now becomes Rockport's largest account and will
generate $1.8 million in revenue annually to RPHL. Rockport's Workers Compensation networks now handles
$145,760,000 in clients paid medical bills with over 690,428 employees covered by Rockport's Occupational

Our analysts have uncovered this healthcare gem of a company Rockport Healthcare Group, Inc. (OTCBB:RPHL).

We believe this less than one year old new age healthcare service company that is amassing such phenomenal growth provides
excellent value and immediate stock price increase potential.

The company, RPHL is a holding company for several of its wholly owned healthcare businesses which provide targeted payor groups
including consumers, with high value, quality services for Worker's Compensation, accident and health, and self-care management
programs. Rockport customizes its healthcare provider networks to address it's clients' specific needs in workers' compensation, group
health and the underinsured and uninsured population. The RPHL organization employs experienced and seasoned personnel to operate its
customer care services, electronic claims and bills processing, network development and provider credentialing, proprietary information
systems, marketing and sales and peer review. Rockport is aggressively expanding its healthcare provider networks through contracting
and acquisition.

Recent news that validates the true direction the Company is headed.

The Company has recently announced that its Workers Compensation Preferred Provider Organization exceeded 710,000 employees
covered under its Workers Compensation program in five States. The Company expects to generate $4,300,000 in gross revenues from this
Workers Compensation subsidiary, Rockport Community Network, Inc.

Rockport added a new client in late September. RPHL is processing over $155,760,000 in medical care bills. This business represents just
over $4,000,000 in fee revenue to Rockport annually. Rockport has accomplished this impressive milestone since it started marketing in
late January of this year.

Below is excellent news that again validates the high potential for growth of this company.

Rockport is negotiating with fifteen (15) potential new clients who have spent over $152,000,000 in paid medical bills last year. Management
states Rockport should reach over $250,000,000 in paid medical bills by the end of this year.

The exponential growth rate of Rockport Healthcare Group, Inc. is generating a lot of energy and excitement within the healthcare industry.
In just their first year, they are projecting to close out 1999 with over $250 million in paid medical bills. In addition to their
predicted financial success, they are also continuing to establish new alliances in an effort to secure valuable
partnerships. As a holding company, they are continually evolving in order to meet the growing demands of
today's integrated healthcare businesses.

With over 190,000 employees covered in its workers' compensation network, RPHL dominates the Houston
market with a client base that represents over $41,500,000 in paid medical bill. Plus, on average, RPHL clients
receive a 25% discount from the Texas Workers' Compensation Fee Schedule that has aided in enhancing
member loyalty. This group has facilitated the processing of over $155,760,000 in medical care bills in 1999.

We recommend a strong buy and accumulate through $5.00 and a short term goal of $8.00 and twelve month goal
of $12.00.

The Day Trader Newsletter always tries to recommend stocks with serious growth potential! Purchasing
recommend stocks early could potentially mean big profits for serious investors. While there are no guarantees,
RPHL is viewed as a company with a solid business plan and excellent long-term growth potential.

Bright investors already know this, that is why they get involved so fast when they hear of the stocks through the

Hello Mark!

Here is one of the urls:

http://216.35.27.167/users/rhtn/sto/secret.htm

and the second one:

http://216.214.150.58/members/105

Both are located on my servers...I will probably change the IP address on the first one tomorrow sometime to keep the heat down.

This the current situation on mailing:

Mailed 1 million last Friday
2 million by Tuesday when I discovered how old the ad copy was. Was worried because the stock appeared to be totally unaffected by the
mailing. We switched the ad copy and started mailing to the website late Wendesday. Since that time we have mailed 3 million during the
night last night and 1 during the day today. Another 3 million will go out tonight.

I saw movement on the volume today but the price/share is awful! Any thoughts?

This last round of emails was a good test.

I think I have an answer how we can be
much more effective. I will work on it all
weekend so we can use it Sunday night
for the first round of emails for the week.

I would like to 2 million emails sunday night
and 1 million during trading hours Monday.

I million before the open and 1 million during
trading hours; tues, wed, thur and only 1 million
before the open on fri. 10 million total for the week.

All AOL or equals- webTV, msn, prodigy or whom
ever else.

I think we should go back to the original message and
put up some very technical links that the reader can go
to. I think the recent links and meassage is to promotional
and our readers are not buying it. we have sent out
way to many email to get such a light response. They are
hitting the links but not buying.

I will call later.

Hello Mark!

Yes I received your voice mail...as I said yesterday I wasn't concerned about your making good on it, just trying to figure out how to handle it

I will check with you on Wed. AM in regards to $$

Good Morning Mark!

Can you send over the schedule for this week together
with the new message(s) you wish to go out?
I'm trying to get my schedule arranged. I'm thinking that
this could be a great week for us since Thursday is
Thanksgiving...alot of people are home and/or visiting
families...playing on their computers, etc. We usually
get good response on most campaigns over the holidays.
I also think giving RPHL a break and promoting a new stock
will give us a tremendous boost.

Also, will you please shoot me a quick email in the morning
when the wire transfer is a done deal? I would greatly appreciate it.

Take care and God bless.

How exciting! I didn't realize your family was growing but I don't suppose I should know :-). I'm very happy for you...children are wonderful.
My thoughts go out to your wife for carrying a 22 inch baby :-)...my youngest was 8 lbs 15 oz and 22 1/2 inches long. I tried to tell the doctors
that he was much bigger than my first one but they would not listen to me! He was under my rib cage the entire nine months I think :-)! So I
have empathy for your wife :-). Congratulations again.

December 30, 1999

Our analysts have uncovered this healthcare gem of a company Rockport Healthcare Group, Inc. (OTCBB:RPHL). This is a prime company in a
solid market with profits. This type of early stage company with revenues and is a fully reporting company provides some of the best profit
potential for OTC companies. Look for this company to move to NASDAQ very soon.

We believe this less than one year old new age healthcare service company that is amassing such phenomenal growth provides excellent value
and immediate stock price increase potential.

The Company, RPHL is a holding company for several of its wholly owned healthcare businesses which provide targeted payor groups
including consumers, with high value, quality services for Worker's Compensation, accident and health, and self-care management programs.
Rockport customizes its healthcare provider networks to address its clients' specific needs in workers' compensation, group health and the
underinsured and uninsured population. The RPHL organization employs experienced and seasoned personnel to operate its customer care
services, electronic claims and bills processing, network development and provider credentialing, proprietary information systems, marketing
and sales and peer review. Rockport is aggressively expanding its healthcare provider networks through contracting and acquisition.

Recent news that validates the true direction the Company is headed.

The Company has recently announced that its Workers Compensation Preferred Provider Organization exceeded 710,000 employees covered
under its Workers Compensation program in five States. The Company expects to generate $4,300,000 in gross revenues from this Workers
Compensation subsidiary, Rockport Community Network Inc. Rockport added a new client in late September. RPHL is processing over
$155,760,000 in medical care bills. This business represents just over $4,000,000 in fee revenue to Rockport annually. Rockport has
accomplished this impressive milestone since it started marketing in late January of this year.

The exponential growth rate of Rockport
Healthcare Group, Inc. is generating a lot of energy and excitement within the healthcare industry. In just their first year, they are projecting to
close out 1999 with over $250 million in paid medical bills. In addition to their predicted financial success, they are also continuing to establish
new alliances in an effort to secure valuable partnerships. As a holding company, they are continually evolving in order to meet the growing
demands of today's integrated healthcare businesses. With over 190,000 employees covered in its workers' compensation network, RPHL
dominates the Houston market with a client base that represents over $41,500,000 in paid medical bills. Plus, on average, RPHL clients receive a
25% discount from the Texas Workers' Compensation Fee Schedule that has aided in enhancing member loyalty. This group has facilitated the
processing of over $155,760,000 in medical care bills in 1999.
